Well Launched Terms of Service
Effective October 23, 2026 · Last updated October 28, 2026
1. Agreement to These Terms
These Terms of Service (the “Terms”) are a binding agreement between you and Well Launched LLC, a Texas limited liability company (“Well Launched,” “we,” “us,” or “our”). They govern your use of welllaunched.com, the Well Launched web application, the websites we build and host for you, the member community, and all related content, tools, and services (collectively, the “Service”).
You accept these Terms when you check the box agreeing to them at sign-up or checkout, or when you otherwise use the Service. Our Privacy Policy, available at welllaunched.com/privacy-policy, explains how we handle your information and is part of these Terms. If you use the Service on behalf of a practice or business entity, you confirm that you are authorized to accept these Terms for such practice or business entity, and “you” includes that practice or business entity.
2. What Well Launched Is, and What It Is Not
Business education and software. Well Launched provides business education, software tools, templates, AI-assisted drafts, and website building and hosting to help licensed mental health professionals plan, open, and run a private practice. The Service is designed to teach and organize; it is not a substitute for the judgment of you or your professional advisors.
Not legal, tax, financial, insurance, or clinical advice. Well Launched is not a law firm, accounting firm, financial adviser, insurance agency or broker, or clinical supervisor, and we do not provide legal, tax, accounting, financial, investment, insurance, medical or clinical advice. Nothing in the Service creates an attorney-client, accountant-client, fiduciary, or supervisory relationship between you and us, or between you and any third party whose information or content is made available through the Service. General information about topics such as business entities, taxes, insurance carriers and panels, contracts, privacy notices, Good Faith Estimates, professional wills, and licensing board rules is provided for general educational purposes only. Information provided is not a complete statement of every requirement that may apply to you. Requirements vary by state, by license type, and by practice setting, including whether you see clients via telehealth across state lines, accept insurance, or employ or contract with other clinicians. You are responsible for confirming how any requirement applies to your particular state, license, and circumstances.
Templates and forms are not a substitute for a lawyer. The templates, forms, and documents available through the Service are general forms that you must review and adapt. They are not a substitute for the advice of an attorney. Before you use, sign, publish, or file any legal document, you should have it reviewed by an attorney licensed in your state. Information about which business entity type your state permits or requires for your license is general information drawn from public sources; confirm it with an attorney or your licensing board before you form an entity.
Done-with-you services. Some plans (such as Launch and Refresh) include help from us in drafting and building materials such as your website pages. In doing that work, we rely on your instructions and the information you provide without independently verifying it, and you alone decide what the final materials say and whether to use them. Nothing is published, filed, or used on your behalf until you review and approve it. You are responsible for the accuracy of the information you give us and for confirming that the final materials are accurate and lawful for your practice.
Your professional obligations are yours. You are solely responsible for your practice, your clinical work, your business decisions, and compliance with all laws, regulations, payer requirements, and licensing board rules that apply to you, including rules on advertising, use of titles and credentials, client testimonials, telehealth, and record keeping. Dr. Emily Turinas, Well Launched’s founder, is a licensed psychologist, but Well Launched does not provide clinical services, clinical consultation, or supervision, and no supervisory, consulting, or professional relationship is created between you and Dr. Turinas or any Well Launched team member by your use of the Service.
3. Eligibility and Your Account
You must be at least 18 years old, located in the United States or Canada, and using the Service for a professional or business purpose related to a mental health practice (including a practice you are planning to open). The Service is not offered for personal, family, or household use.
You must provide accurate, current, and complete information and keep it updated. Keep your login credentials secure. You are responsible for all activity under your account. Please contact us promptly at [email protected] if you believe someone has accessed your account without permission. Each account is designated for one individual or practice; do not share your login.
4. No Client or Patient Information
You must not enter, upload, or store any client or patient information in the Service. This includes protected health information as defined under HIPAA (45 C.F.R. § 160.103), names or contact details of clients or prospective clients, session notes, diagnoses, treatment information, insurance member information, and payment information of clients. This prohibition applies to all features and areas of the Service, including documents and files you upload or connect, prompts and other inputs to AI features, community posts and messages, communications with our support team, and content published on or collected through your website, such as contact or inquiry form submissions.
The Service is not designed to store protected health information, Well Launched does not act as a business associate under HIPAA, and we will not sign a business associate agreement. Client records belong in your electronic health record (EHR) or other HIPAA-compliant system. Templates provided through the Service (such as intake forms) are blank forms for you to use outside the Service.
Websites. The websites we build for you must not collect client or prospective-client health information through the Service. If you want your website to offer appointment requests, contact forms, intake, or scheduling, you must link to or embed a tool provided by your EHR or another HIPAA-compliant provider under your own agreement with that provider.
If client information is entered in violation of this Section, we may delete it without notice, and you are responsible for any resulting obligations to your clients or regulators.
5. Plans, Pricing, and Payment
Plans. We offer a free checklist and the following paid plans: Blueprint, Launch, and Refresh (each a one-time purchase) and Grow (a monthly subscription). The features included in each plan and the current prices are described on our pricing page and at checkout, and the description shown at checkout when you buy is part of these Terms.
Founding member pricing. Founding member pricing is available only for the Blueprint plan ($49 instead of $149), the Launch plan ($149 instead of $299), and the Refresh plan ($149 instead of $249), and only to the first 50 purchasers in total across these plans. Founding member pricing ends for all three plans when 50 founding-price purchases have been made or at 11:59 p.m. Central Time on November 20, 2026, whichever comes first. Founding member pricing is a one-time price for the plan purchased only. Founding member pricing does not change the price of Grow.
Payment. Payments are processed by Stripe, Inc. By providing a payment method, you authorize us and Stripe to charge such payment method for the plan you select and, for Grow, for recurring charges as described in Section 6. Prices are in U.S. dollars, or in Canadian dollars for practices in Canada, and do not include taxes; you are responsible for any applicable sales or similar taxes. We do not receive or store your full card number.
Price changes. We may change our prices at any time. A new price for Blueprint, Launch, or Refresh applies only to purchases made after the change and never affects a plan you have already bought. If we change the price of Grow, we will email you at least 30 days before the new price applies to you. The email will state the new price, the date it takes effect, and how to cancel or pause, and you may cancel or pause Grow from “Manage Plan” before the new price applies. The new Grow price will apply only to billing periods that begin after that notice period. Price changes never affect a period you have already paid for.
6. Grow Subscription and Automatic Renewal
Grow is a recurring subscription that renews automatically every month at the then-current Grow price (currently $29 per month, plus applicable taxes) until you cancel. Grow prices may change as described in Section 5. Grow includes website editing services for a website we host for you, as described in Section 10.
Free months when you add Grow. Grow is an optional service and is never added to your purchase of any Service automatically. You may add Grow at checkout when you buy Blueprint, Launch, or Refresh, or at any later time from “Manage Plan.” The first time you add Grow, your first two months are free; this offer is available only once per person, even if you buy more than one plan or cancel and add Grow again. If your website is not yet live when you add Grow, your two free months and access to Grow’s features will not start until your website goes live. Your website goes live (a) for Launch, on the date the website we build for you is first publicly available at your own domain (a private preview does not count); (b) for Refresh, on the date you add Grow, because your practice already has a website; or (c) for Blueprint, on the date you mark your website as live in the app. On the day your website goes live, we will email you at the email address associated with your account confirming that your free months have started and stating the date they end, the date and amount of your first Grow charge, and how to cancel. If your website is already live when you add Grow, your two free months and access to Grow’s features begin immediately on the date you add Grow, and the confirmation email described below will state the date your free months end, the date and amount of your first Grow charge, and how to cancel. If your website has not gone live by the 720th day after you add Grow, your Grow subscription will end automatically on that day, you will not be charged for Grow, your unused free months will not carry over, and we will email you at the email address associated with your account to confirm that Grow has ended. You may add Grow again later from “Manage Plan,” but you will be charged the then-current Grow price from the date you add it. To add Grow, you must affirmatively agree to automatic renewal by checking a separate box at checkout or in “Manage Plan” that is not pre-checked and is presented next to the Grow price, renewal frequency, and cancellation terms; if you do not check that box, you buy only the Blueprint, Launch, or Refresh plan you selected, Grow is not added, and no recurring charges will be made. If you add Grow, then unless you cancel before your two free months end, your payment method will be charged the then-current Grow price (currently $29) on the day after your free period ends and every month thereafter until you cancel such Grow plan. We will email you a reminder at least 7 days before your first charge, stating the charge amount, the charge date, and how to cancel.
How to cancel. You can cancel Grow at any time online from “Manage Plan” in your account settings, in no more than a few clicks. You may also cancel by emailing [email protected]. If you cancel Grow during your free period, you will not be charged. If you cancel after a paid month has started, your cancellation takes effect at the end of that billing period, and your Grow plan will be active until then. We will send you an email confirming your cancellation.
Pausing. You may pause Grow from “Manage Plan”. While paused, you will not be charged and Grow features, including website editing beyond what Section 10 allows without Grow, will be unavailable. You may pause Grow for up to one year at a time.
Confirmation. After you sign up, we will email you a confirmation that includes the automatic renewal terms, the cancellation policy, and how to cancel.
Material changes. We will notify you before making any material change to the Grow renewal terms, and you may cancel before the change takes effect.
7. Refunds
One-time plans. If you are not satisfied with Blueprint, Launch, or Refresh, you may request a full refund through the app or by emailing [email protected] within 7 days of purchase, with no questions asked. Refunds are returned to your original payment method.
What happens after a refund. You keep the documents and written materials you downloaded before the refund, and you may continue to use them for your own practice as described in Section 11. When a refund is processed, your access to the refunded plan, including its documents, templates, tools, and AI-assisted features in the app, ends, and any website we are hosting for you under that plan is taken offline, generally within one business day, and its content, including its pages, images, and files, may be deleted. Your domain name remains yours, but we will stop hosting your website at that domain, and you are responsible for updating or removing any domain settings that point to our hosting.
Grow. If you are charged for a month of Grow you did not mean to keep, tell us within 7 days of that charge and we will refund it. Otherwise, Grow charges are non-refundable, and we do not provide refunds for partial months.
Abuse. We may decline refund requests that we reasonably believe are abusive, such as repeated purchase-and-refund cycles, and we are not required to refund a plan if we end your account because you materially breached these Terms.
Nothing in this Section limits any refund rights you have under applicable law.
8. Access to One-Time Plans
When you buy Blueprint, Launch, or Refresh, you get access to that plan, including updates we make to that plan, for as long as Well Launched (or a successor to Well Launched) offers the plan to members. We may update, reorganize, or replace features, content, and tools over time. If we change a plan, we will try to keep its core value comparable.
If we discontinue a one-time plan or shut down the Service, we will give you at least 60 days' notice by email and an opportunity to download your documents and website content. If we discontinue a one-time plan or shut down the Service within 12 months after you purchased that plan, we will also refund a pro-rated portion of the price you paid for it, based on the number of full months remaining in that 12-month period. If Well Launched undergoes a merger, consolidation, reorganization, conversion, change of control, or sale of all or substantially all of its assets, equity, or the business or product line to which these Terms relate (whether by operation of law, contract, or otherwise), we may assign or transfer these Terms, your account, and our related rights and obligations to the acquirer, surviving entity, or other successor without your consent or notice to you, and that successor will be bound by these Terms.
AI-powered features in every plan are subject to reasonable usage limits that we describe in the app and may adjust from time to time.
9. AI-Assisted Features
Some features use artificial intelligence provided by third-party model providers like Anthropic to generate drafts, suggestions, and other output (“AI Output”). AI Output is generated automatically, may contain errors, omissions, outdated information, or content that is inaccurate or unsuitable for your state or license, and may be similar to output generated for other members. You must review, edit as needed, and approve all AI Output before you use, publish, sign, or file it, and you are responsible for the AI Output you choose to use. AI Output is not reviewed by an attorney, accountant, or other licensed professional and is not legal, tax, financial, or clinical advice.
Do not enter client information (Section 4) or other people's confidential information into any AI feature. Do not use AI features to create false or misleading content, including fabricated reviews, credentials, or testimonials.
As between you and Well Launched, and to the extent we have any rights in it, we assign to you our rights in AI Output generated for you, excluding Well Launched Materials (Section 11) and generic content that is not specific to you. You understand that AI-generated material may not be eligible for copyright protection, and we make no promise about your ability to protect such AI-generated material.
10. Websites We Build and Host
Building. Under Launch and Refresh, we help you create website pages for your practice. We publish only pages that you have reviewed and approved. You are responsible for the content of your website, including its accuracy, your credentials and claims, any testimonials or endorsements, and compliance with laws and licensing board advertising rules.
Domains. You are responsible for registering, renewing, and paying for your domain name with your domain registrar, and you remain the owner of your domain. You authorize us to configure your domain settings as needed to host your site. We are not responsible for lapses, transfers, or problems with your registrar.
Hosting and availability. We host member websites using third-party infrastructure such as Cloudflare and Netlify. We use commercially reasonable efforts to keep websites available, but we do not guarantee uninterrupted availability, any particular uptime percentage, or search engine ranking or traffic. Websites may be unavailable because of maintenance, outages at our providers, or events outside our control. If your website becomes unavailable, our sole obligation, and your sole and exclusive remedy, is for us to use commercially reasonable efforts to restore it within a reasonable time; we will not owe you service credits, refunds, or damages for any period of unavailability.
Accessibility. We design site templates with accessibility in mind and aim to follow widely used accessibility guidelines, but we do not guarantee that your website complies with the Americans with Disabilities Act or any accessibility standard. Because you control your site's content (including images, alt text, documents, and embedded third-party tools), you are responsible for your website's accessibility and legal compliance.
Editing your website. For two months after a website built using Launch or Refresh first goes live at your own domain, you may edit it as often as you like. Once such two-month period ends (or, for a website built using Blueprint, at any time), any changes to the text, images, pages, layout, or design of a website we host require an active, unpaused Grow subscription, except that without Grow you may, at any time, use the options shown in your account to update your contact information, office address, fees, insurance accepted, availability for new clients, office hours, booking link, and headshot, and you may make up to three typo fixes (each up to 15 words) per calendar year. Your website stays online whether or not you have Grow, and you may download your website files at any time. If you purchased Launch or Refresh before October 23, 2026, you may continue to edit your hosted website without Grow.
Download anytime. You may download your website files at any time from your account. If you host your website anywhere other than Well Launched, you are solely responsible for hosting, maintaining, updating, and changing it, and Well Launched has no obligation to make changes to, support, or keep online any website hosted elsewhere.
After cancellation. If your hosting ends because you close your account or we discontinue the plan for any reason other than a refund pursuant to Section 7, your website will remain online for 30 days so you can download your website files and move your website to another provider, after which we will take your website offline and may delete it. We may take your website offline sooner if we remove material or disable a website in response to a complaint or takedown under the “Website complaints and takedowns” provision of this Section 10, or if we suspend or terminate your account under Section 15.
Website complaints and takedowns. We may remove or disable material on a hosted website, or take a website offline, if we receive a credible complaint or reasonably believe the material infringes another person's rights, is unlawful, contains client information, or violates these Terms. Where practicable, we will use reasonable efforts to notify you before taking such action. If we reasonably believe that immediate action is necessary to prevent harm to you, us, your clients, or others, we may remove or disable the material or take your website offline without first notifying you, and will notify you as soon as reasonably practicable afterward. None of the notice obligations in this paragraph apply where a law, court order, or other legal requirement prohibits us from giving notice, and in that case we will notify you only when and to the extent the law permits.
11. Ownership and Licenses
Your Content. You own the information, text, images, logos, and files you provide to the Service and the documents and website pages created for you (collectively, your “Content”), subject to our rights in Well Launched Materials. You grant us a non-exclusive, worldwide, royalty-free license to host, store, copy, process, display, transmit, and adapt your Content only as needed to provide, secure, and support the Service for you, including to publish the website pages you approve and to send materials to our service providers. This license ends when your Content is deleted from the Service, except for copies in routine backups (which are deleted on their normal schedule) and material you shared in the community. You confirm that you have all rights needed to provide your Content, including permission from any person shown in photos you provide.
Our materials. The Service and its software, design, step-by-step guidance, courses, checklists, templates, form language, and other material we provide (“Well Launched Materials”) are owned by Well Launched and its licensors. We grant you a non-exclusive, non-transferable license to use Well Launched Materials, subject to Acceptable Use under Section 13, for your own practice. If your account ends for any reason, you may continue to use, copy, and modify any Well Launched Materials that were incorporated into documents or website pages you created or downloaded before your account ended, solely for your own practice and subject to the restrictions in this Section.
Connected accounts. When you connect a folder or account (such as Google Drive), you authorize us to save documents created for you through the Service to that connected folder or account on your behalf. You can disconnect that folder or account from the Service at any time through your Service account settings or the third-party provider’s settings, after which we will stop saving documents to it.
Feedback. If you send us suggestions or feedback, we may use it without obligation to you.
Aggregated data. We may create and use aggregated and de-identified information about use of the Service that does not identify you or your practice, to operate and improve the Service.
12. Member Community
The Service may include a community where members can post questions, answers, and other content (“Posts”). By posting, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to host, display, and distribute your Posts within the Service, and other members may view such Posts. Posts remain visible after your account ends, shown as from a former member, unless you delete them or ask us to remove them.
You agree that Posts will: not contain client information or details from which a client could be identified; not be false, defamatory, harassing, discriminatory, or unlawful; not infringe anyone's rights; not be spam or undisclosed advertising; and not offer legal, tax, or clinical advice as if from a licensed professional engaged by the reader. Posts from other members represent only their own views. We do not verify Posts, and you should not rely on them as professional advice.
We may, but are not obligated to, monitor Posts. We may remove any Post, and may suspend community access, at our discretion, including for violations of these Terms.
13. Acceptable Use
You agree not to: use the Service for illegal activity; use the Service to create false, deceptive, or unlawful advertising, including fake reviews or testimonials or misstated credentials; access other members' accounts or data; probe, scan, overload, or interfere with the Service; reverse engineer the Service except as the law permits; scrape or copy the Service or Well Launched Materials by automated means; resell, sublicense, or share access to the Service without our written permission; upload malicious code; or use the Service to build a competing product.
14. Third-Party Services
The Service works with third-party products and services, such as Stripe, Google, your domain registrar, your EHR, directories such as Psychology Today, and insurance carriers and panels. Your use of those services is governed by their own terms and privacy policies. We do not control and are not responsible for them, and any mention of a third-party provider is for information only and is not an endorsement or recommendation.
15. Suspension and Termination
You may stop using the Service and delete your account at any time from your account settings. Before you delete your account, download any documents and website files you want to keep. You may also request a copy of your information.
We may suspend or terminate your account or access to any part of the Service if you materially breach these Terms (including Section 4), if your use creates legal, security, or reputational risk for us or others, if required by law, or if we discontinue the Service as described in Section 8. Where reasonable, we will give you notice and an opportunity to cure first.
Sections 2, 4, 7, 9, 11 (as to licenses that survive), 12 (as to the license to Posts), and 16 through 22 shall survive termination of these Terms.
16. Disclaimers
EXCEPT AS OTHERWISE PROVIDED BY APPLICABLE LAW, THE SERVICE, WELL LAUNCHED MATERIALS, AI OUTPUT, WEBSITES, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WELL LAUNCHED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
We do not guarantee any particular result, including any number of clients, referrals, insurance panel acceptances, search rankings, website traffic, income, tax savings, or regulatory approval.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) WELL LAUNCHED AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, CLIENTS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (II) ONE HUNDRED U.S. DOLLARS ($100).
THE LIMITATIONS IN THIS SECTION APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF ANY LIMITED REMEDY IN THESE TERMS FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. YOU AGREE THAT THESE LIMITATIONS REFLECT A REASONABLE ALLOCATION OF RISK BETWEEN YOU AND WELL LAUNCHED AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US, AND THAT WELL LAUNCHED WOULD NOT PROVIDE THE SERVICE WITHOUT THEM.
18. Indemnification
You will defend, indemnify, and hold harmless Well Launched and its members, managers, employees, and contractors from and against third-party claims, and related losses, damages, fines, and reasonable attorneys' fees, arising out of or relating to: (a) your Content (including your website and any website pages, documents, or other materials you approve for publication or publish) or your Posts; (b) your use of any template, document, or AI Output, including any document you publish, sign, file, or provide to clients; (c) your practice, your services to clients, or your dealings with clients, payers, or regulators; (d) any client or patient information you enter in violation of Section 4; or (e) your misuse of the Service or your account, or your violation of these Terms or of any law, regulation, payer requirement, or licensing board rule. This obligation does not apply to the extent a claim results from our own breach of these Terms, gross negligence, or willful misconduct. We will give you prompt notice of any claim, and we may participate in the defense with our own counsel at our own expense. You may not settle a claim in a way that admits fault by us or imposes obligations on us without our written consent.
19. Changes to the Service and These Terms
We may update the Service from time to time. We may update these Terms by posting the updated version and changing the “Last updated” date where applicable. If a change is material, we will notify you by email or in the app at least 30 days before it takes effect. Changes will not apply retroactively, and changes to Section 20 will not apply to any dispute of which we had notice before such change. If you do not agree to a change, you may stop using the Service and delete your account before the change takes effect. Continuing to use the Service after the effective date of any change to these Terms means you accept the updated Terms.
20. Disputes, Arbitration, and Class Action Waiver
Informal resolution first. Before either you or Well Launched starts an arbitration or lawsuit, the party asserting the dispute must send the other party a written notice that includes the asserting party’s name and contact information, a description of the nature and basis of the dispute, and the specific relief requested. You and Well Launched agree to negotiate in good faith to resolve the dispute informally for at least 30 days after the other party receives the notice, and neither party may start an arbitration or lawsuit until that 30-day period has ended. Notices to us go to [email protected] and 2525 Wallingwood Drive 7D, Austin, TX 78746. Notices to you will be sent to the email address associated with your account.
Binding arbitration. If the dispute is not resolved informally, you and Well Launched agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, before a single arbitrator. The arbitration will be conducted by videoconference unless the arbitrator decides an in-person hearing is needed, in which case it will take place in Travis County, Texas. These Terms involve interstate commerce, and the Federal Arbitration Act, 9 U.S.C. § 1 et seq., governs the interpretation and enforcement of this Section, notwithstanding any other choice-of-law provision in these Terms. The arbitrator has exclusive authority to resolve any dispute about the interpretation, applicability, scope, enforceability, or formation of this agreement to arbitrate, except that a court of competent jurisdiction, and not an arbitrator, will decide any dispute about the validity, enforceability, or scope of the class action waiver.
Exceptions. Either party may (a) bring an individual claim in small claims court in Travis County, Texas, or in the county where you practice, if the claim qualifies, and (b) seek injunctive relief in court for infringement or misuse of intellectual property.
Class action waiver. You and Well Launched each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any class or representative proceeding. If this class action waiver is found unenforceable as to any claim, that claim must be decided by a court, not an arbitrator, and the rest of this Section still applies.
30-day opt-out. You may opt out of this arbitration agreement by emailing [email protected] from your account email, with the subject “Arbitration Opt-Out,” within 30 days after you first accept these Terms. Opting out does not affect any other part of these Terms.
Courts. For any dispute not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.
21. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.
22. General
These Terms, the Privacy Policy, and the plan description shown at checkout are the entire agreement between you and us about the Service. You may not assign these Terms without our written consent. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the rest of these Terms will remain in effect. Our failure to enforce a provision is not a waiver. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of third-party hosting, internet, or AI providers. You and we are independent contractors. You agree that we may provide notices and other communications to you by email or in the app, and that these satisfy any requirement that communications be in writing. You may not use the Service in violation of U.S. export control or sanctions laws.
23. Copyright Complaints (DMCA)
If you believe content on the Service or a website we host infringes your copyright, send a notice to us at [email protected] or Well Launched LLC, 2525 Wallingwood Drive 7D, Austin, TX 78746, that includes: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification of the allegedly infringing material and where it is located; (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act for the owner. A member whose content is removed may send a counter-notice as provided in 17 U.S.C. § 512(g). We terminate, in appropriate circumstances, the accounts of members who are repeat infringers.
